1Platform publisher
The CodeWifi platform, available at codewifi.online and operated under the OZi-CONNECT brand, is published by:
Hosting: DigitalOcean LLC, 105 Edgeview Drive, Suite 425, Broomfield, CO 80021, USA. Production servers are located in Frankfurt, Germany.
2Purpose and scope
CodeWifi is a software-as-a-service platform for commercial WiFi network operators. It provides remote management of MikroTik routers, generation and sale of connection vouchers, and monitoring of WiFi access points.
These terms govern the relationship between OZIPROHOLDING and the operator who subscribes to the platform. They do not govern the relationship between the operator and their own end customers, which remains the operator's sole responsibility.
Creating an account constitutes full acceptance of these terms.
3Operator account
Registration
Opening an account requires accurate information: name, email address, phone number, city and country. The operator undertakes to keep this information current.
Credential security
The operator is solely responsible for keeping their password confidential and for all activity carried out from their account. Any suspicious use must be reported without delay.
Professional use only
The platform is intended for adults conducting a commercial activity. Minors may not open an operator account.
4Scope of the service
Depending on the subscription plan, the platform provides access to some or all of the following:
- management of WiFi access points and connection profiles;
- voucher generation, printing and sale;
- secure remote router access through an encrypted VPN tunnel (WireGuard);
- hotspot management interface;
- Mobile Money collection and revenue tracking;
- activity dashboard.
Hardware remains the operator's responsibility. CodeWifi is management software: it does not supply the routers, the internet connection, or the electricity required for access points to function.
5Operator obligations
The operator undertakes to:
- conduct their WiFi activity in compliance with applicable Ivorian regulations, in particular those governing electronic communications;
- obtain any administrative authorisations required for their activity;
- inform their own customers about the processing of their data and obtain any necessary consent;
- not use the platform for unlawful purposes or to infringe third-party rights;
- not attempt to access routers, data or accounts belonging to other operators;
- not circumvent security mechanisms, nor reverse-engineer the platform.
Breach of these obligations may result in immediate account suspension.
6Pricing, payments and withdrawals
Subscription prices are shown on the platform and may change. Any change is notified by email with reasonable advance notice.
Mobile Money collection
End-customer payments are processed through a third-party payment provider. CodeWifi stores no banking data. Processing times, fees and incidents attributable to the provider or to Mobile Money operators are outside CodeWifi's control.
Withdrawals
The operator may request payout of their revenue to the Mobile Money number they have registered. Requests are processed within the timeframes indicated on the platform. The accuracy of the destination number is the operator's responsibility.
7Availability and maintenance
CodeWifi uses reasonable efforts to maintain service continuity, without guaranteeing uninterrupted availability.
The service may be suspended for maintenance, updates, or due to external events: telecom operator failure, power outage, hosting provider failure, or force majeure. Scheduled interruptions are announced where possible.
Dependence on the local network. Remote router management requires the router to be powered and connected to the internet. An outage at the operator's site makes the router temporarily unreachable, independently of the platform.
8Liability
CodeWifi provides a management tool. It is not a party to the relationship between the operator and their end customers, and assumes no responsibility for content accessed through WiFi networks operated by the operator.
CodeWifi shall not be held liable for:
- revenue lost due to a service interruption;
- malfunctions of the operator's equipment;
- incidents attributable to internet service providers, Mobile Money operators or payment providers;
- use made of the platform by the operator or their staff;
- data loss resulting from an action taken by the operator.
In any event, and except in cases of gross negligence or wilful misconduct, any compensation is limited to the amounts paid by the operator over the preceding three months of subscription.
9Personal data
Data processing is detailed in the Privacy Policy, which forms an integral part of these terms.
In summary: for account data, the operator is the data subject and CodeWifi is the data controller. For WiFi end-customer data, the operator is the data controller and CodeWifi acts as data processor, on the operator's instructions.
10Intellectual property
The platform, its source code, interface and trademarks remain the exclusive property of OZIPROHOLDING. Subscription grants a personal, non-exclusive and non-transferable right of use, limited to the subscription period.
Data belonging to the operator — their list of access points, generated vouchers, sales history — belongs to them and remains exportable throughout the contract.
The platform incorporates third-party open-source components, including the MikHmon hotspot management interface, published under the GPLv2 licence and created by Laksamadi Guko. These components remain subject to their respective licences.
11Suspension and termination
The operator may close their account at any time from their account area or by written request.
CodeWifi may suspend or terminate an account in the event of breach of these terms, non-payment, or use that compromises the security of the platform or other operators. Except in security emergencies, prior formal notice is given.
On closure, account data is retained for thirty (30) days to allow export, then deleted, subject to statutory accounting retention obligations.
12Changes to these terms
These terms may be amended to reflect changes to the service or to regulations. Substantial changes are notified by email thirty (30) days before they take effect. Continued use constitutes acceptance.
13Governing law and disputes
These terms are governed by Ivorian law.
In the event of a dispute, the parties shall seek an amicable settlement. Failing agreement within thirty (30) days of the first written complaint, the dispute falls under the jurisdiction of the courts of Abidjan.
